1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Kodra Labs ("Company," "we," "us," or "our") governing your access to and use of our website kodralabs.com and all related services.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

5. Intellectual Property

5.1 Our Intellectual Property

The website, its content, features, and functionality (including but not limited to text, graphics, logos, icons, and software) are owned by Kodra Labs and are protected by copyright, trademark, and other intellectual property laws.

5.2 Client Deliverables

Upon full payment for services rendered, clients receive ownership of custom-developed software as specified in the individual service agreement. Pre-existing components, libraries, and tools used in development remain the property of their respective owners.

Individual software development projects are governed by separate project agreements that specify:

• Project scope and deliverables
• Timeline and milestones
• Pricing and payment terms
• Intellectual property rights
• Confidentiality obligations
• Warranty and support terms

In case of conflict between these Terms and a specific project agreement, the project agreement shall prevail.

7. Payment Terms

Payment terms are specified in individual project agreements. General terms include:

• Payment schedules based on project milestones
• Invoices are due within 14 days unless otherwise specified
• Late payments may incur interest charges
• All prices are exclusive of applicable taxes unless stated otherwise

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of business. This obligation survives the termination of any agreement. Confidential information does not include information that is publicly available or independently developed.

9. Limitation of Liability

To the maximum extent permitted by law:

• Kodra Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amounts paid by you for the specific service giving rise to the claim
• We do not warrant that services will be uninterrupted, error-free, or completely secure

10. Disclaimer of Warranties

Our website and services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Indemnification

You agree to indemnify and hold harmless Kodra Labs and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the services or violation of these Terms.

12. Termination

We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the services ceases immediately. Provisions that by their nature should survive termination shall survive.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Turkey.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Izmir, Turkey, unless mandatory consumer protection laws provide otherwise.

14. Force Majeure

Neither party shall be liable for any failure to perform its obligations due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on our website. Your continued use of the services after such modifications constitutes acceptance of the updated Terms.
